1. Agreement Overview
This End User License Agreement ("EULA") is a legal agreement between you ("User", "Client") and Sigma Business Intelligence ("Company", "We", "Us"), a data science consulting company, regarding your use of our services, software, dashboards, and related materials.
2. Services Covered
This EULA applies to:
- SigmaLens Dashboard Platform
- Business Intelligence consulting services
- Data Science and AI solutions
- CFO and financial analytics services
- Custom software and analytical tools
- Reports, dashboards, and data visualizations
3. Grant of License
3.1 License Scope
We grant you a limited, non-exclusive, non-transferable license to use our services and software solely for your internal business purposes in accordance with the terms of your service agreement.
3.2 Permitted Uses
You may:
- Use dashboards and reports for business decision-making
- Access analytics platforms during your subscription period
- Share insights internally within your organization
- Export data and reports for internal use
3.3 Restrictions
You may NOT:
- Reverse engineer, decompile, or disassemble our software
- Resell, distribute, or sublicense our services to third parties
- Use our intellectual property to develop competing solutions
- Share login credentials with unauthorized personnel
- Attempt to bypass security measures or access restrictions
4. Data and Privacy
4.1 Your Data
- You retain ownership of all data you provide
- We process your data strictly according to our Privacy Policy
- Data is used solely to provide agreed-upon services
- We implement industry-standard security measures
4.2 Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement.
5. Intellectual Property
5.1 Our IP
- All software, methodologies, and frameworks remain our property
- Custom dashboards and reports are licensed, not sold
- General analytical insights and methodologies remain our intellectual property
5.2 Your IP
- Your business data and proprietary information remain your property
- We may use anonymized, aggregated insights for improving our services
6. Service Level and Warranties
6.1 Service Commitment
- We provide services with professional care and expertise
- 99.5% uptime target for hosted dashboard platforms
- Response time within 24 hours for standard support requests
6.2 Disclaimer
Services are provided "as is" without warranties beyond those explicitly stated in your service agreement.
7. Limitation of Liability
7.1 Liability Cap
Our total liability is limited to the amount paid by you in the 12 months preceding the claim.
7.2 Excluded Damages
We are not liable for:
- Indirect, consequential, or punitive damages
- Loss of profits or business opportunities
- Data loss due to force majeure events
- Third-party service interruptions
8. Term and Termination
8.1 Term
This EULA remains effective during your active service period.
8.2 Termination Rights
Either party may terminate with 30 days written notice. We may terminate immediately for breach of terms.
8.3 Post-Termination
Upon termination:
- Access to our platforms ceases immediately
- We will provide data export for 30 days
- Confidentiality obligations survive termination
9. Compliance and Legal
9.1 Regulatory Compliance
Our services comply with:
- GDPR (European Union)
- CCPA (California)
- SOX requirements for financial reporting
- Industry-specific regulations as applicable
9.2 Export Controls
Services may be subject to export control laws. User agrees to comply with all applicable regulations.
10. Support and Maintenance
10.1 Standard Support
- Email support during business hours
- Knowledge base and documentation access
- Regular platform updates and improvements
10.2 Premium Support
Available through separate agreement with enhanced SLA terms.
11. Payment and Fees
11.1 Fees
Service fees are outlined in your separate service agreement or statement of work.
11.2 Payment Terms
- Consulting: Net 30 days
- Platform subscriptions: Monthly or annual billing
- Late fees may apply per service agreement
12. Modifications
12.1 EULA Updates
We may update this EULA with 30 days notice. Continued use constitutes acceptance.
12.2 Service Changes
Material service changes require mutual written agreement.
13. Governing Law
This EULA is governed by:
- US Clients: Florida State Law
- EU Clients: Portuguese Law
- Other Jurisdictions: As specified in service agreement
14. Dispute Resolution
14.1 Initial Resolution
Disputes should first be addressed through direct communication.
14.2 Arbitration
Unresolved disputes will be settled through binding arbitration in the applicable jurisdiction.
15. Severability
If any provision is deemed unenforceable, the remainder of this EULA remains in effect.

17. Acknowledgment
By using our services, you acknowledge that you have read, understood, and agree to be bound by this EULA.
This EULA is effective as of the date above and supersedes all prior agreements regarding the subject matter herein.
